The ground rules.

These Terms and Conditions (“Terms”) form a binding agreement between you (“you,” “User”) and Spendbyte (“we,” “us,” “our”) governing your access to and use of the Spendbyte mobile application and related services (the “Services”). By creating an account or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Services, and at least 18 (or the age of legal majority) to use payment, wallet, or transfer features. By using the Services you represent that you meet these requirements and that all information you provide is accurate.

• You are responsible for safeguarding your credentials, device PIN, and biometric (Face ID) settings.
• You agree to provide accurate registration details and keep them current.
• You are responsible for all activity that occurs under your account.
• Notify us immediately of any unauthorized access at contact@spendbyte.com.
• We may suspend, restrict, or terminate accounts that violate these Terms, present fraud or security risk, or are inactive for extended periods.

Spendbyte provides:

• Hunts & gameplay — location-based scavenger-style experiences, marker scanning, AR/secret game flows, geofenced events, and rewards.
• Wallet, payments, transfers & redemption — an in-app wallet, peer-to-peer transfers, merchant payments, digital redemption codes, and related financial features.
• Discovery & social — the explore feed, notifications, feedback, and settings.

Features available may vary by region, device, and account verification status.

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on a device you own or control, solely for your personal, non-commercial use, subject to these Terms and the Apple App Store Licensed Application End User License Agreement.

You agree not to:

• Use the Services for any unlawful, fraudulent, or harmful purpose.
• Cheat, exploit, automate, reverse-engineer, decompile, scrape, or interfere with hunts, gameplay scoring, geofence detection, or marker scanning.
• Use multiple accounts to gain unfair advantage, abuse promotions, or evade limits.
• Spoof location (GPS, Wi-Fi, motion) or tamper with device sensors used by the App.
• Upload viruses, malware, or content that infringes others' rights, is illegal, hateful, harassing, sexually explicit, or otherwise objectionable.
• Use the Services to launder money, finance illegal activity, or evade sanctions.
• Probe, scan, stress-test, or attempt to breach security or rate limits of our systems.
• Resell, sublicense, or commercially exploit the Services without written permission.

We may remove content, void rewards/redemptions obtained through abuse, and suspend or terminate accounts that violate this section.

Hunts take place in physical environments. You agree to:

• Obey all laws and traffic rules.
• Be aware of your surroundings — never play while driving, cycling, or in unsafe areas.
• Respect private property, restricted areas, and the privacy of others.
• Use common sense; your safety is your responsibility. We are not liable for injury, loss, or damage resulting from physical interaction with the world while using the Services.

8.1 Wallet balances held in the App represent funds available for use within the Services and are processed by our licensed payment partners. Wallet balances are not bank deposits and are not insured by any government deposit-insurance scheme unless explicitly stated.

8.2 Funding & withdrawals. You authorize us and our payment partners to debit/credit your linked payment methods to fund your wallet, complete transfers, or process refunds.

8.3 Transfers between users are typically final once completed. Always verify the recipient before sending. We are not responsible for transfers sent to the wrong recipient.

8.4 Fees. Applicable fees (transfer fees, FX, withdrawal fees) are displayed before you confirm a transaction. We may change fees with reasonable notice.

8.5 Limits. We may impose minimum/maximum transaction, daily, or holding limits, including for compliance or risk reasons.

8.6 KYC / AML. You may be required to provide identity information and supporting documents. We may delay, refuse, reverse, or report transactions to comply with applicable laws (including AML, sanctions, and counter-terrorism financing).

8.7 Disputes & chargebacks. Report unauthorized transactions promptly. Unjustified chargebacks may result in account suspension and recovery of associated costs.

8.8 Refunds. Refunds for in-app purchases (e.g., hunt entries, digital items) are handled per Apple App Store policy. Refunds for merchant payments are at the merchant's discretion.

• Rewards, points, coins, and redemption codes earned in hunts have no cash value unless explicitly stated and cannot be sold, exchanged, or transferred outside the App.
• We may modify, expire, or revoke rewards obtained in violation of these Terms or through bugs/exploits.
• Third-party merchant rewards are subject to that merchant's terms.

You retain ownership of content you submit (photos, messages, feedback, profile data). You grant us a worldwide, royalty-free, sublicensable license to host, store, reproduce, modify, display, and use such content solely to operate and improve the Services. You represent that you have all necessary rights to grant this license.

The Services, including the App, code, designs, logos, hunt content, map overlays, and trademarks (including “Spendbyte”), are owned by us or our licensors and are protected by intellectual-property laws. Except for the license in Section 5, no rights are granted to you.

The Services rely on third parties (e.g., Apple, Mapbox, Amplitude, Firebase, payment processors). Their terms and privacy policies govern your interaction with them. We are not responsible for third-party services.

Some features may be labeled beta, experimental, or preview. They may be unstable, incomplete, or modified or discontinued at any time, with no liability to us.

You may stop using the Services and delete your account at any time via Settings → Account. We may suspend or terminate your access immediately if you breach these Terms, create risk to us or other users, or if required by law. Upon termination, your right to use the Services ends, but provisions that by their nature should survive (e.g., Sections 8, 11, 15, 16, 17) will survive.

The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. We do not warrant that hunts, maps, location data, or payments will be uninterrupted, timely, error-free, or secure.

To the maximum extent permitted by law, in no event will Spendbyte, its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or device/property damage, arising out of or related to the Services.

Our total aggregate liability for all claims relating to the Services will not exceed the greater of (a) the amount you paid us in the 12 months before the claim, or (b) USD 100.

Some jurisdictions do not allow these limitations; in those cases, our liability is limited to the maximum extent permitted by law.

You agree to indemnify and hold harmless Spendbyte and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your content, your violation of these Terms, or your violation of any law or third-party right.

We may modify the Services or these Terms at any time. Material changes will be communicated through the App or by email and become effective on the stated effective date. Continued use after changes take effect constitutes acceptance.

These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-laws principles. Disputes will be resolved in the competent courts of Ghana, unless mandatory consumer law in your country provides otherwise. Where permitted, you and we agree to first attempt good-faith resolution by contacting contact@spendbyte.com before bringing a formal claim.

If you obtained the App via the Apple App Store:

• These Terms are between you and Spendbyte, not Apple. Apple has no obligation to provide support.
• Apple is a third-party beneficiary of these Terms and may enforce them against you.
• You agree to comply with the Apple Media Services Terms and Conditions.

• Entire Agreement. These Terms and the Privacy Policy form the entire agreement between you and us.
• Severability. If any provision is unenforceable, the remaining provisions remain in effect.
• No Waiver. Failure to enforce a right is not a waiver.
• Assignment. You may not assign these Terms; we may assign them in connection with a corporate transaction.
• Notices. We may notify you in-app or by email.
